Kentucky Annual Reports Due June 30: Don't Risk Losing Your Business's Good Standing

If you own a Kentucky LLC, corporation, or other registered business entity, an important deadline is quickly approaching. Annual reports must be filed with the Kentucky Secretary of State no later than June 30 each year.

While the filing itself is relatively simple, failing to submit your annual report on time can have significant consequences for your business.

What Is the Kentucky Annual Report?

The annual report helps the Kentucky Secretary of State maintain accurate information about businesses operating within the Commonwealth. The report confirms important details about your company, including:

  • Principal office address

  • Registered agent and registered office information

  • Names and addresses of officers, directors, members, managers, trustees, or other applicable individuals

Businesses can file their annual report online, by mail, or in person. A completed report must be signed, dated, and accompanied by the $15 filing fee.

Need to Update Business Information?

The annual report provides an opportunity to confirm or update certain information about your business. However, changes to your principal office address or registered agent/office generally cannot be made on the annual report postcard itself and must instead be submitted through a separate filing with the Secretary of State.

If you've already filed your annual report and later discover an error, you may file an amended annual report to correct the information.

What Happens If You Miss the Deadline?

For Kentucky-based (domestic) entities, failing to file an annual report by June 30 can result in administrative dissolution. This means your business will be placed in inactive status and will no longer be in good standing with the Kentucky Secretary of State.

To reinstate a dissolved entity, business owners must:

  • Submit a Reinstatement Application

  • Obtain required letters of good standing from the Kentucky Department of Revenue and, if applicable, the Division of Unemployment Insurance

  • Pay all delinquent filing fees and other required costs

The reinstatement process can take time and may create unnecessary complications for your business operations.

Foreign Businesses Face Consequences Too

Businesses formed outside Kentucky but authorized to conduct business in the Commonwealth must also file annual reports. Failure to do so may result in the revocation of the company's certificate of authority, preventing it from legally conducting business in Kentucky until it requalifies.
